The sale of one’s life’s work is one of the most important steps in the biography of an entrepreneur and his or her family. The process is complex, labor-intensive and emotionally demanding. The range of services includes the management of the transaction from A to Z, in particular

  • Participation in the notarization of the transaction and support until completion (payment of the purchase price)
  • Analysis of the corporate law and family situation and consideration of structuring options in the run-up to a transaction, gladly together with your legal and tax advisors
  • Analysis of the company with regard to necessary or sensible changes or adjustments in the company in the run-up to a transaction: unpleasant surprises or “skeletons in the closet” during an ongoing transaction process are value-destroying and, in the worst case, can lead to a loss of confidence on the part of a buyer and the termination of a transaction
  • Analysis of value drivers and value enhancement potential
  • Assessment of a realistic purchase price corridor based on historical financial data, planning and the business model
  • Selection of suitable advisors and negotiation of engaement terms. As a rule, the involvement of an investment bank will add value. The bank prepares an information memorandum about the company and undertakes a worldwide search for a buyer
  • Assistance and support with data preparation in the electronic data room and during the due diligence process by the prospective buyers; if necessary, initiation and coordination of a so-called seller due diligence (can be very useful for complex international structures)
  • Evaluation of the bidders and their purchase offers, including any reverse participation offers
  • Assistance with the structuring of the transaction and the contractual negotiations of key transaction documents. As a rule, this includes the acquisition of the company and, in the case of a re-investment by the entrepreneur, the participation agreement, partnership agreements, rules of procedure, service or consultancy agreements
